In consideration of the terms and covenants of this Agreement, and other valuable consideration, the parties agree as follows:
RECITALS
A). Golden Tree is in the business of running and organizing events, including the World AI Technology Expo which is scheduled for 21-Nov-2025 & 22-Nov-2025, as described in documents related to the same incorporated herein via references.
B). The Speaker is an individual with requisite expertise in their field and possesses the qualifications and experience necessary to deliver a valuable presentation at the event.
C). The Speaker wishes to participate in the event as a speaker, and Golden Tree desires to engage the Speaker to deliver presentation(s) or participate in other related activities.
D). Both parties are eligible to enter into this Agreement with each other and are not disqualified in any manner.
In consideration of the terms and covenants of this Agreement, and other valuable considerations, the parties agree as follows:
1). TERM
This Agreement shall commence as of the Effective Date and subsist until the Nov 21, 2025 notwithstanding any provisions that ought to survive the term, or unless terminated in accordance with the terms of this Agreement (“Term”). This Agreement shall terminate automatically after the Term of this Agreement unless the Parties agree to extend the Term further in writing.
2). SCOPE
2.1). The Speaker's participation shall include delivering a presentation or participating in panels (collectively referred to as “Scope”). The specific details of the Speaker's engagement, such as the type of session (e.g., keynote, panel discussion), and the allocated time, will be communicated to the Speaker by Golden Tree at least fourteen (14) days prior to the date of the event.
2.2). The Speaker agrees to adhere to the event schedule and allocated time for their session as communicated by Golden Tree.
2.3). Golden Tree shall provide the benefits and inclusions as outlined in the "Speaker Benefits and Inclusions" section of Annexure A appended to this Agreement, which may vary based on the Speaker's selected package.
3). CONTENT REQUIREMENTS
3.1). The Speaker shall provide original content for their presentation and shall ensure that such content does not infringe upon any third-party intellectual property rights
3.2). All content submitted by the Speaker must align with the theme and objectives of the Event and shall not contain any offensive, discriminatory, unlawful, or otherwise inappropriate material.
3.3). The Speaker agrees to share all presentation slides, media, or other relevant materials with Golden Tree no later than fifteen (15) days prior to the Event, to allow sufficient time for review and approval by Golden Tree.
3.4). The Speaker shall ensure that the content of their presentation is accurate, reliable, and relevant to the audience and the overall theme of the Event. The Speaker further agrees that their presentation shall not be overly promotional in nature and shall not focus primarily on marketing their company, products, services, or offerings.
4). RECORDING AND DISTRIBUTION RIGHTS
4.1). The Speaker grants Golden Tree the right to record, photograph, and/or broadcast their session, including any related materials, for use during and after the event including for Golden Tree’s future events. To clarify further, the Speaker hereby through this reference grants Golden Tree unlimited, perpetual, and irrevocable rights to use the Speaker's details, including name, photo, company name, experience, skills, designation, and any provided biographical information, for current and future event promotions across all channels. These channels include, but are not limited to, newsletters, websites, press releases, social media, and any other marketing materials. This right extends to all promotional activities related to events organized by Golden Tree, without any requirement for further consent or compensation to the Speaker.
4.2). Golden Tree may use the Speaker's likeness, name, designation, photo, company name and presentation materials for promotional purposes, without additional compensation or approval.
4.3). Golden Tree retains the right to distribute the recording of the Speaker’s session via platforms of their choosing, including but not limited to social media, event websites, and promotional channels.
4.4). Golden Tree will retain ownership of the recordings, photos, and broadcasts.
5). SPEAKER OBLIGATIONS
5.1). The Speaker shall arrive at the venue or virtual platform at least 60 minutes prior to the scheduled start of their session.
5.2). The Speaker must possess relevant industry experience in the field of Technology. Golden Tree reserves the right to evaluate and approve or decline the Speaker’s participation based on the business or thematic requirements of the Event.
5.3). The Speaker shall disclose any potential conflicts of interest or affiliations that could affect the perception of their impartiality or expertise.
5.4). The Speaker agrees to share their participation in the event via their professional networks, as mutually agreed with Golden Tree.
5.5). The Speaker agrees to respond to Golden Tree's communications in a timely manner.
5.6). The Speaker shall pay all speaker fees and any applicable permit fees as per invoice(s) raised by Golden Tree. These fees, must be paid in full within the timeframe specified on the invoice. Failure to pay the fees as invoiced may result in cancellation of the Speaker's participation and loss of associated benefits.
5.7). Every speaker/presenter shall be approved by DTCM (Department of Tourism and Commerce Marketing) Dubai. The Speaker's documents must be submitted one month prior to the event. A permit fee and service fee shall be applicable as mentioned in documents in relation to this Agreement.
5.8). The Speaker acknowledges and agrees that their participation in the event is solely for the purpose of sharing expertise and insights, and they shall not derive any direct revenue or financial gain from their speaking engagement at the event.
6). CONFIDENTIALITY AND NON-DISCLOSURE
6.1). The Speaker shall treat as confidential any information disclosed by Golden Tree that is marked as confidential or reasonably understood to be confidential.
6.2). This obligation shall survive the termination of this Agreement.
6.3). The Speaker shall not disclose any details about other speakers, attendees, or sponsors to third parties.
6.4). The speaker shall not disclose or share any confidential information about their representing company or product or service.
7). CANCELLATION AND SUBSTITUTION
7.1). If the Speaker is unable to attend the event for any reason, they shall notify Golden Tree in writing as soon as possible.
7.2). The Speaker may suggest a substitute of comparable expertise, subject to Golden Tree’s prior approval and USD 250 is applicable for the DTCM permit amendment and handling charges
7.3). In the event of a no-show at the event by the Speaker without prior written notice and reasonable cause acceptable to Golden Tree, the Speaker shall be considered in material breach of this Agreement. In such instances, the Speaker shall forfeit any fees paid.
7.4). In the event of cancellation or rescheduling of the event for any reason (whether cancellation is done by Golden Tree or the Speaker), Golden Tree shall not be liable for any accommodation, travel, or related expenses incurred by the Speaker. The Speaker acknowledges and agrees that any such expenses are their sole responsibility, and Golden Tree is not obligated to provide reimbursement for these costs in case of event cancellation or rescheduling.
7.5). Golden Tree reserves the right to cancel the Speaker's participation if deemed necessary and will communicate such a decision in writing.
8). NO GUARANTEES AND WARRANTIES
All services of Golden Tree are provided on an “As Is” and “As Available” basis without warranty, representation, or guarantee of any kind whatsoever, either express or implied. Golden Tree does not warrant that the Agreement will result in the benefit of the Speaker in any manner in terms of including without limits, sales, increase in sales, acquiring leads, etc. Golden Tree reserves the right to modify or change the allocated speaker slot, including the time, date, and duration, at its sole discretion.
The footfall figures referenced in marketing materials, including but not limited to websites, proposals, emails, and social media platforms, are provided solely as estimates. These figures are indicative in nature and are not intended to constitute a warranty or guarantee of actual footfall or engagement. Variations in actual results may occur due to factors beyond reasonable control.
In the event of any claims, disputes, or liabilities arising under or in connection with the event organized by Golden Tree, the total liability of Golden Tree, whether in contract, tort (including negligence), or otherwise, shall be limited to the maximum amount paid by the claimant to Golden Tree for participation in the Event.
9). INDEMNITY AND LIMITATION OF LIABILITY
9.1). The Speaker agrees to indemnify and hold Golden Tree harmless from any claims, losses, or damages arising from the content of their presentation or their participation in the event.
9.2). Golden Tree shall not be liable for any loss or damage arising from the cancellation or rescheduling of the event.
9.3). The Speaker agrees to adhere to all applicable laws and regulations of the event location and shall not engage in any activity that violates these laws. In the event of any violation of local laws by the Speaker, the Speaker is solely and completely responsible for any consequences, including legal penalties, and Golden Tree shall not bear any liability or responsibility for such actions. The Speaker agrees to indemnify and hold Golden Tree harmless from any claims, losses, damages, legal fees, or other costs arising from any violation of law by the Speaker.
9.4). In no event shall Golden Tree or any of its Directors, Employees or Other Representatives be responsible for any special, incidental, indirect, or consequential damages of any kind. Speaker shall assume full responsibility for the overall effectiveness and efficiency of the operations.
10). REFUND AND CANCELLATION TERMS
The Speaker acknowledges and agrees to the following refund and cancellation terms, which are incorporated as part of this Agreement:
10.1). All fees paid by the Speaker under this Agreement, including registration fees, speaker package fees, or permit/service charges, are strictly non-refundable, regardless of attendance, participation, or cancellation by the Speaker for any reason.
10.2). No refunds, whether full or partial, shall be issued for any services or benefits not utilized by the Speaker. This includes but is not limited to access to food and beverage services (if applicable), participation in scheduled meetings, networking sessions, or speaker engagements, promotional inclusions, or any other agreed deliverables.
10.3). Failure of the Speaker or its representatives to attend the Event (a "no-show") without prior written communication and an acceptable reason, as determined solely by Golden Tree, shall result in forfeiture of all rights to any refund or associated benefits and shall be considered a breach of this Agreement.
10.4). Refunds will only be issued if the Event is formally cancelled by Golden Tree for business reasons. In such cases, the maximum refund shall be limited to the amount paid by the Speaker under this Agreement. No further claims or compensation shall be entertained. If the Event is rescheduled or relocated (including virtual transformation), such rescheduling shall be deemed full performance by Golden Tree, and no refunds shall be owed.
10.5). If the Speaker cancels their participation for any reason, no refund shall be applicable regardless of the timing or cause. Any pending fees under the Agreement shall remain due and payable in full.
10.6). Speaker participation and its benefits are non-transferable, non-exchangeable, and may not be substituted or exchanged without prior written approval of Golden Tree. Approved substitutions shall be subject to an amendment and processing fee.
10.7). Golden Tree shall not be liable for any delay, cancellation, rescheduling, or alteration of the Event due to circumstances beyond its reasonable control, including but not limited to natural disasters (earthquakes, floods, etc.), acts of God, acts of war, terrorism, or civil unrest, pandemic outbreaks or public health emergencies, government restrictions, lockdowns, or regulatory changes, and power outages or internet disruptions impacting the Event or venue. In such circumstances, Golden Tree reserves the right to transform the Event into a virtual or hybrid format, reschedule to a future date, or relocate the venue. In such cases, the Event shall be deemed duly delivered, and the Speaker shall not be entitled to any refund or compensation.
11). TECHNICAL DIFFICULTIES AND EVENT OPERATIONS
11.1). The Speaker acknowledges and agrees that Golden Tree shall not be held responsible or liable for any technical issues, operational delays, or equipment malfunctions that may occur during the course of the Event. This includes, but is not limited to, interruptions or failures in audiovisual equipment, lighting, sound systems, internet connectivity, projection displays, stage effects, or any other technical infrastructure provided by Golden Tree or the venue.
11.2). While Golden Tree will exercise reasonable efforts to provide a professionally managed and technically sound platform for all Speaker sessions, the Speaker understands that technical disruptions may occur due to unforeseen circumstances beyond the reasonable control of Golden Tree, including third-party service provider failures, hardware breakdowns, software glitches, or connectivity issues.
11.3). The Speaker agrees that such technical difficulties shall not constitute a breach of this Agreement by Golden Tree, nor shall they entitle the Speaker to any refund, reduction in fees, compensation, or postponement of their speaking engagement. The Speaker accepts that such challenges may arise and waives any claims arising therefrom.
11.4). The Speaker further agrees to cooperate with Golden Tree's technical team in any pre-event testing, dry runs, or content format submissions as may be reasonably required to facilitate the smooth execution of the Speaker's session.
12). TERMINATION
12.1). Speaker may terminate this Agreement, with or without cause, upon the giving of 30 days advanced written notice to Golden Tree. Either party may terminate this Agreement immediately upon written notice to the other party of such other party substantially breaches its obligation set forth in this Agreement. All obligations of the parties shall remain in effect until the effective date of any termination. Full or partial Refund is not applicable upon termination of this agreement by the speaker.
12.2). Golden Tree reserves the right to cancel the Speaker’s participation if the Speaker's conduct is deemed detrimental to the event, or if the Speaker fails to meet the content requirements as outlined herein, which specifies that content must align with the theme and goals of the event and be free from offensive or discriminatory material. Such a decision will be communicated in writing to the Speaker. In the event of termination by Golden Tree due to the reasons outlined in this Section, the Speaker will not be entitled to a refund for any payments made for the Speaker package.
13). MARKETING REPRESENTATIONS
The Speaker acknowledges and agrees that any information provided by Golden Tree, including but not limited to pricing, descriptions, specifications, images, availability, promotional offers, and event-related details, whether communicated through websites, proposals, presentations, social media, marketing materials, or any other promotional channels (“Marketing Materials”), is intended solely for illustrative purposes and does not constitute a binding offer, representation, or warranty of any kind. Such content is subject to change at any time without prior notice and may vary depending on prevailing circumstances or specific requirements of the Speaker. Golden Tree is not responsible for any non-attendance of any attendees displayed on any Marketing Materials. The final scope of deliverables, entitlements, and applicable pricing shall be governed exclusively by the terms and conditions expressly set forth in this Agreement and its annexures, which shall prevail over any prior or contemporaneous promotional or marketing content.
14). ENTIRE AGREEMENT
This Agreement, together with all annexures and referenced documents incorporated herein, constitutes the complete and exclusive agreement between the Parties concerning the subject matter hereof. It supersedes and replaces any and all prior agreements, understandings, communications, representations, and promotional content, whether oral or written. The Speaker confirms that in deciding to enter into this Agreement, it has not relied on any prior verbal assurances, promotional content, or representations that are not expressly included in the terms of this Agreement.
15). MISCELLANEOUS
15.1). Governing law: This Agreement shall be construed and enforced according to the laws of Dubai, UAE
15.2). Successors and Assigns: This Agreement shall be binding on and inure to the benefit of the parties hereto.
15.3). Headings: The headings in this Agreement are for convenience only.
15.4). Severability: If any term of this Agreement is held by a court of competent jurisdiction to be invalid or unenforceable, then this Agreement, including all of the remaining terms, will remain in full force and effect.
15.5). Notices: Any notice or other communication to be given or sent hereunder shall be left or sent by email or prepaid registered post to the Party concerned.
15.6). No partnership: Nothing contained or implied in this Agreement shall constitute or be deemed to constitute a partnership.
15.7). No Rule of Construction: Unless prohibited by law, no rule of construction applies to the disadvantage of the Party responsible for the preparation of this Agreement.
15.8). Amendment: This Agreement shall not be varied, amended or cancelled unless such variation, amendment or cancellation has been expressly agreed to in writing by the Parties.
15.9). Survival: All provisions that logically ought to survive termination of this Agreement shall survive.
15.10). Waiver: No delay or failure by any of the Parties to exercise or enforce at any time any right or provision of this Agreement shall be considered a waiver thereof unless made in writing.
15.11). Electronic Signatures/ Counterparts: This Agreement may be executed in one or more counterparts.
15.12). Taxes: The Parties shall bear their respective taxes applicable to them which may arise by virtue of this Agreement.
IN WITNESS WHEREOF, the undersigned have executed this Agreement as of the day and year first written above. The parties hereto agree that facsimile signatures shall be as effective as if originals.
