In consideration of the terms and covenants of this Agreement, and other valuable consideration, the parties agree as follows:
RECITALS
In consideration of the terms and covenants of this Agreement, and other valuable considerations, the parties agree as follows:
1).TERM
This Agreement shall commence as of the Effective Date and subsist until May 15th 2025 notwithstanding any provisions that ought to survive the term or unless terminated in accordance with the terms of this Agreement (“Term”). This Agreement shall terminate automatically after the Term of this Agreement unless the Parties agree to extend the Term further in writing.
2). CONSIDERATION
The total amount payable for the Exhibitor’s participation in the event, including all fees and charges as outlined in this Agreement, shall be due in full upon the execution of this Agreement.
The Exhibitor shall ensure that all payments related to their participation in the event are paid in full no later than 45 days prior to the event date. Failure to comply with this payment deadline may result in the forfeiture of the allocated exhibition space and/or any other benefits and opportunities associated with participation
3). BOOKING TERMS
3.1). The booking of exhibition space shall be confirmed via email only upon receipt of full payment, accompanied by a duly signed copy of this Agreement. Until both conditions are fulfilled, Golden Tree reserves the right to withhold confirmation and may allocate the space to other exhibitors at its discretion.
4). EXHIBITION SPACE ALLOCATION
4.1). The Exhibitor shall be provided with a stall space for the purpose of showcasing their products or services during the event.
4.2). The allocation of exhibition spaces shall be determined solely at the discretion of Golden Tree and may be done randomly. All decisions regarding space allocation are made at the sole discretion of Golden Tree and are final.
4.3). Golden Tree reserves the right to change the location of the allocated space at any time prior to or during the event, without any obligation to provide notice or compensation.
4.4). The Exhibitor acknowledges that no preference or requests for specific stall locations shall be entertained and the same shall be at the sole discretion of Golden Tree.
4.5). The Exhibitor agrees to set up their stall within the allocated space and not exceed the designated area. Any setup or display outside the allocated area is strictly prohibited and may result in penalties, including removal of unauthorized items.
4.6). The Organizer reserves the right to make alterations to the layout, stall positions, or sizes as necessary to accommodate operational or logistical requirements. Such alterations shall not entitle the Exhibitor to a refund or adjustment of fees.
4.7). Exhibitors are required to maintain the standards and professionalism of the exhibition at all times. Materials, displays, or promotional items must be confined to the designated exhibition space allotted to the Exhibitor. Under no circumstances may materials extend beyond or be displayed in front of the assigned space.
4.8). The Exhibitor shall complete all booth setup and installation work by 6:00 PM on May 13, 2025. No setup or installation work will be permitted during the event days of May 14 and 15, 2025. Any work not completed by the deadline may result in additional charges or removal
4.9). Golden Tree is not responsible for providing any additional services that are not explicitly mentioned in the Annexure A which is hereby through this reference construed as a part of this Agreement. This includes, but is not limited to, additional insurance for the booth, extra chairs and tables, televisions, display units, or any other supplementary items or services. The exhibitor is responsible for providing or purchasing any such extra items/services.
4.10). The exhibitor undertakes to use the allocated space and exhibition center facilities with due care and shall not cause any damage to the property. Any damage caused to the space, exhibition center, or its facilities by the exhibitor, their staff, or agents will be assessed by Golden Tree. Golden Tree shall prepare a report detailing the extent of the damages and the associated costs, which shall be charged to the Exhibitor. The Exhibitor agrees to settle these charges promptly and directly in accordance with the terms set forth by Golden Tree.
5). LICENSE TO USE EXHIBITOR'S BRANDING
The Exhibitor grants to Golden Tree a perpetual, irrevocable, royalty-free, worldwide, non-exclusive license to use the exhibitor Materials for branding and marketing purposes. This license includes usage of exhibitor materials in promotional channels such as but not limited to email campaigns, press releases, branding on Golden Tree’s websites, marketing proposals, and event-related promotions. Golden Tree is authorized to use the exhibitor Materials without any restriction on duration, ensuring its continued use for both ongoing and future marketing and promotional efforts associated with Golden Tree’s business, unless explicitly revoked in writing by mutual agreement.
6). NO GUARANTEE OF VISIBILITY
Golden Tree is committed to a fair and engaging event for all exhibitors, but cannot guarantee specific visibility or foot traffic for any stall. The exhibitor allocation process is impartial and aims to provide equal opportunity, while Golden Tree focuses on supporting exhibitor success through various initiatives.
7). NO GUARANTEES AND WARRANTIES
All services of Golden Tree are provided on an “As Is” and “As Available” basis without warranty, representation, or guarantee of any kind whatsoever, either express or implied. Golden Tree does not warrant that the Agreement will result in the benefit of the Exhibitor in any manner in terms of including without limits, sales, increase in sales, acquiring leads, etc.
The footfall figures referenced in marketing materials, including but not limited to websites, proposals, emails, and social media platforms, are provided solely as estimates. These figures are indicative in nature and are not intended to constitute a warranty or guarantee of actual footfall or engagement. Variations in actual results may occur due to factors beyond reasonable control.
In the event of any claims, disputes, or liabilities arising under or in connection with the event organized by Golden Tree, the total liability of Golden Tree, whether in contract, tort (including negligence), or otherwise, shall be limited to the maximum amount paid by the claimant to Golden Tree for participation in the Event.
The Exhibitor acknowledges and agrees that Golden Tree does not provide any insurance coverage for loss, damage, or liability arising from fire, theft, accidents, natural disasters, or any other incidents that may occur during the event, including setup and dismantling periods. The Exhibitor is solely responsible for obtaining their own insurance coverage to protect against such risks. Golden Tree shall not be held liable for any loss or damage to the Exhibitor's property, equipment, or personnel resulting from any incident during the event.
8). NON-TRANSFERABILITY OF ALLOCATED SPACE
The allocated stall space is non-transferable and cannot be assigned, subleased, or shared with other parties without the prior written consent of Golden Tree.
9). LIMITATION OF LIABILITY
In no event shall Golden Tree or any of its Directors, Employees or Other Representatives be responsible for any special, incidental, indirect, or consequential damages of any kind. Exhibitor shall assume full responsibility for the overall effectiveness and efficiency of the operations.
10). DESIGNATED VENDOR COORDINATION AND RESTRICTIONS
10.1). Golden Tree shall connect the Exhibitor directly with designated vendors who are pre-approved and allocated by Golden Tree and the event hotel for booth printing and setup. The Exhibitor acknowledges that Golden Tree is not responsible for any delays, cost overruns, or quality issues related to the services provided by these designated vendors. The Exhibitor shall communicate and coordinate directly with the Golden Tree representative, and through them, the designated vendor.
10.2). To maintain event quality and consistency, Exhibitors shall use the vendors already allocated by Golden Tree and the event hotel. Exhibitors are not allowed to use their own vendors for printing, setup, or any other related services at the event. Any deviation from this process, or any attempt to use outside vendors, will result in penalties or removal from the event without a refund.
11). SAFETY REGULATIONS
11.1). The Exhibitor is required to adhere to all safety rules and regulations established by the exhibition center and Golden Tree. It is the Exhibitor's responsibility to ensure that their activities, displays, and conduct align with these safety standards at all times.
11.2). In the event that the Exhibitor repeatedly violates the regulations of the exhibition center, Golden Tree and the center’s management reserve the right to take necessary actions, including locking the Exhibitor’s space for the duration of the event. In such cases, the Exhibitor forfeits any claim to a refund or reimbursement of fees paid, regardless of the circumstances.
11.3). Non-compliance may also result in additional penalties as deemed appropriate by the organizer and venue management.
12). INDEMNIFICATION
Golden Tree shall not be held liable for any loss, damage, or inconvenience caused by changes to the allocation of stalls or the event layout.
The Exhibitor agrees to indemnify Golden Tree against any claims arising from the use of the allocated stall space.
Exhibitor hereby agrees to indemnify and defend at its sole expense Golden Tree, its employees, agents, representatives, directors, and shareholders, from and against any and all claims arising out of or based upon Exhibitor use of all services, software or hardware provided or serviced hereunder. In addition, Exhibitor agrees to pay any judgment and costs associated with such claim.
13). REFUNDS
If Golden Tree terminates the Agreement due to reasons beyond the control of Golden Tree, the sole remedy of the Exhibitor shall be that Golden Tree shall provide the services to which the Exhibitor may be entitled to during the Term, in the subsequent year from the date of termination of this Agreement. Golden Tree shall not be obligated to provide refunds under any circumstances. The Exhibitor shall not be entitled to a refund in the event that the Agreement is terminated by the Exhibitor for any reason. The Exhibitor shall forfeit the services to which they are entitled to under this Agreement in the event the Exhibitor terminates the Agreement for any reason without any liability to Golden Tree and no refunds shall be provided.
14). TERMINATION
Exhibitor may terminate this Agreement, with or without cause, upon the giving of fifteen (15) days advanced written notice to Golden Tree. Either party may terminate this Agreement immediately upon written notice to the other party of such other party substantially breaches its obligation set forth in this Agreement. All obligations of the parties shall remain in effective until the effective date of any termination.
Golden Tree reserves the right to terminate the Agreement and revoke the stall allocation if the Exhibitor breaches any terms or engages in any activity deemed inappropriate, unsafe, or illegal. In such cases, the Exhibitor shall vacate the premises immediately upon notice and will not be entitled to a refund of fees paid.
15). MISCELLANEOUS
15.1). The exhibition space shall be made available to Exhibitor for setup starting one day prior to the first day of the event. Exhibitor may begin setting up their booths at this time. Exhibitor shall ensure that their setup complies with all safety standards and guidelines provided by Golden Tree. Exhibitor is required to remove all materials and clear their exhibition space between 7pm to 11pm on the final day of the exhibition period. Failure to comply with this removal deadline may result in additional charges for storage or disposal. Golden Tree is not responsible for any items or materials left behind after the designated removal period.
15.2). Cleanliness Standards: Exhibitors must maintain cleanliness in their allocated areas at all times during the event. While overall site cleanliness is the responsibility of the organizer, exhibitors are expected to keep their individual spaces presentable and free from debris.
15.3). Prohibited Items
The following items are strictly prohibited from being exhibited at the event:
15.3.1). Explosives
15.3.2). Radioactive materials
15.3.3). Poisonous and toxic substances
15.3.4). Illegal drugs
15.3.5). Explicit or pornographic images
15.4). Entire Agreement: This Agreement shall constitute the entire agreement between the Parties.
15.5). Governing law: This Agreement shall be construed and enforced according to the laws of Dubai.
15.6). Successors and Assigns: This Agreement shall be binding on and inure to the benefit of the parties hereto.
15.7). Headings: The headings in this Agreement are for convenience only.
15.8). Severability: If any term of this Agreement is held by a court of competent jurisdiction to be invalid or unenforceable, then this Agreement, including all of the remaining terms, will remain in full force and effect.
15.9). Notices: Any notice or other communication to be given or sent hereunder shall be left or sent by email or prepaid registered post to the Party concerned.
15.10). No partnership: Nothing contained or implied in this Agreement shall constitute or be deemed to constitute a partnership.
15.11). No Rule of Construction: Unless prohibited by law, no rule of construction applies to the disadvantage of the Party responsible for the preparation of this Agreement.
15.12). Amendment: This Agreement shall not be varied, amended or cancelled unless such variation, amendment or cancellation has been expressly agreed to in writing by the Parties.
15.13). Survival: All provisions that logically ought to survive termination of this Agreement shall survive.
15.14). Waiver: No delay or failure by any of the Parties to exercise or enforce at any time any right or provision of this Agreement shall be considered a waiver thereof unless made in writing.
15.15). Electronic Signatures/ Counterparts: This Agreement may be executed in one or more counterparts.
15.16). Taxes: The Parties shall bear their respective taxes applicable to them which may arise by virtue of this Agreement.
15.17). The Exhibitor shall provide all materials and information reasonably requested by Golden Tree for the performance of Golden Tree’s obligations under this Agreement, including but not limited to, the Sponsor's logo, company description, and marketing materials (the "exhibitor Materials"). The exhibitor shall provide the exhibitor Materials to Golden Tree no later than one (1) month prior to the commencement of the Event. The exhibitor shall be solely responsible for the accuracy and completeness of the exhibitor Materials. Golden Tree shall not be liable for any delays or failures to perform its obligations under this Agreement caused by the exhibitor's failure to provide the Materials in accordance with this clause.
15.18)
IN WITNESS WHEREOF the undersigned have executed this Agreement as of the day and year first written above. The parties hereto agree that facsimile signatures shall be as effective as if originals.
